Terms of Service

These Terms of Service (“Terms”) govern your access to and use of appguard360.com (the “Site”) and, if you create an account or purchase a subscription, your use of the AppGuard360 software-as-a-service (the “Service”). AppGuard360 is a product owned and operated by MSPwerks, Inc. (“MSPwerks,” “we,” “us,” or “our”).
By accessing the Site or using the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.
Scope note. These Terms cover:
(a) the Site (marketing pages, forms, downloads), and
(b) the Service (AppGuard360 SaaS) when you sign up.
MSP or reseller programs may be governed by additional terms.
1. Eligibility & Accounts
You must be at least 18 years old and authorized to bind your organization. You are responsible for the security of your account credentials and all activity under your account. Notify us promptly of any unauthorized use.
2. Subscriptions, Billing & Taxes
2.1 Plans.
AppGuard360 is offered as a subscription. Current pricing and plan descriptions are shown at sign-up (e.g., single-tenant plan including all features, updates, and email support).
2.2 Billing.
Fees are billed in advance (monthly or annually) and are non-refundable except as stated in §10.
2.3 Auto-renewal.
Subscriptions renew automatically for successive periods unless you cancel before the end of the current term.
2.4 Taxes.
Fees exclude applicable taxes; you are responsible for any taxes, duties, or government charges.
3. Permitted Use & Acceptable Use
3.1 License.
While your subscription is active and paid, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
3.2 Acceptable Use.
You will not:

reverse-engineer, decompile, or attempt to derive source code;

circumvent security or rate limits;

use the Service to violate law or third-party rights;

probe or scan other tenants you do not control;

resell or provide the Service to third parties except under an approved MSP agreement.
3.3 Data Ownership.
You retain all rights to your data. You grant us a limited right to process your data to provide the Service, support, and security.
4. Service Features & Support
4.1 What the Service Does.
AppGuard360 discovers OAuth apps, service principals, tokens, and webhooks in your Microsoft tenant; explains risks in plain English; and offers guided actions (e.g., freeze, reduce, disable, delete, and undo) with evidence logs (who/what/when/why).
4.2 Guardrails & Changes.
We implement guardrails for Microsoft first-party apps; however, no tool can guarantee 100% outage prevention. You are responsible for following your change-control process and selecting appropriate maintenance windows.
4.3 Support. Email-only platform support
for AppGuard360 configuration, usage, and troubleshooting is included. Microsoft/Entra administration, incident response, or technical advisory are not included.
4.4 Integrations.
Microsoft services and APIs may change; we are not responsible for third-party outages or platform decisions outside our control.
5. Customer Responsibilities
You represent and warrant that you have the necessary rights to connect your tenant(s) and to authorize the processing of tenant data. You are responsible for reviewing recommended actions, understanding expected impact, and approving changes. You acknowledge that actions you approve will be executed in your tenant under your direction.
6. Privacy & Security
Use of the Site is governed by the AppGuard360 Privacy Policy and the MSPwerks Privacy Policy. We use reasonable administrative, technical, and organizational safeguards, but no system is perfectly secure.
7. Confidentiality
Each party may disclose non-public information to the other. The receiving party will protect such information with reasonable care and use it only for the purposes of these Terms.
8. Intellectual Property & Feedback
AppGuard360, the underlying software, and all related marks and content are owned by MSPwerks or its licensors. You grant us a royalty-free, worldwide, perpetual license to use ideas or feedback you voluntarily provide to improve the Service.
9. Suspension & Termination
We may suspend or terminate access for (a) non-payment, (b) breach of these Terms, (c) security risk, or (d) legal requirement. You may terminate at any time through your billing portal or by contacting us; termination is effective at the end of the current billing period unless otherwise required by law.
10. Refunds
MSPwerks does not provide refunds for subscriptions or services for any reason whatsoever, except for clear administrative billing errors or if a written MSPwerks representative expressly offers a refund. This policy applies to monthly and annual plans.
11. Disclaimers
THE SITE AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL PREVENT ALL SECURITY INCIDENTS, MISCONFIGURATIONS, OR OUTAGES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSPWERKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, COVER, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO MSPWERKS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.
